Terms & Conditions

These Terms and Conditions ("Terms") govern all services provided by Unique Custom Candles, LLC ("UCC"), a California limited liability company. By submitting a purchase order, paying an invoice, or engaging UCC's services in any capacity, the client ("Client") agrees to be bound by these Terms in their entirety.

1. Our Formulas and Suppliers Are Confidential

Everything we develop in our lab -- fragrance formulas, blends, ingredient ratios, and oil codes -- belongs to UCC. That's true even if you helped shape the creative direction.

As a client, you agree not to ask for, request, or attempt to obtain our fragrance oil codes, supplier names, vendor contacts, or any formulation details at any point during or after our engagement. This information is proprietary and will not be shared under any circumstances.

Any compliance documents we provide (Safety Data Sheets, IFRA statements) describe the finished candle product only. They are suitable for retail and regulatory purposes and do not disclose our formulations or suppliers.

2. You Cannot Reproduce Our Fragrances Elsewhere

The formulas we develop stay with UCC. Engaging us for fragrance development does not transfer ownership of the formula to you, regardless of how much creative input you provide.

You agree not to share, replicate, or have any UCC-developed fragrance reproduced by a third-party manufacturer during or after our engagement.

Your brand assets, artwork, and any physical materials you supply to UCC for production remain your property. We will not use or share your brand content outside the scope of your order.

3. Custom Fragrance Development

Here is how our custom fragrance development process works:

Minimum order: Custom scent development requires a production commitment of at least 500 units per fragrance. Orders below this threshold are limited to our in-house fragrance library.

Lab fee: $500 per custom fragrance, due in full before we begin. This fee is non-refundable. Fifty percent (50%) is credited toward your first production purchase order for that scent.

Timeline: Approximately 3-4 weeks from the date payment is received.

Samples and approval: We will send you fragrance samples to review. Your written approval is required before production begins.

Revisions: One revision is included. Any change to an approved fragrance direction -- regardless of how small -- counts as a revision. Additional revisions are $99 each, invoiced separately and due before we resume work.

Final approval: Once you sign off on a fragrance in writing, that scent is approved. Any changes after that point are treated as a new development engagement.

4. Custom Vessel Sourcing

Custom vessel development requires a confirmed minimum order of 1,000 units before we begin any sourcing, sampling, or development work. This commitment must be confirmed in writing.

Vessel sample fees are non-refundable and do not apply toward future orders.

5. Samples

Samples are never complimentary. All sample fees are non-refundable and do not credit toward future orders. Pricing is included in your quote.

6. Payment

- All invoices are in USD.

- Orders under 3,000 units: full payment is due before production begins.

- Orders of 3,000 units or more: a 50% deposit is due at order confirmation, with the balance due before shipment or pickup. Available to vetted clients only.

- Lab fees, sample fees, and revision fees are due upon receipt. Work does not begin until payment clears.

- All quotes are valid for 14 days from the date of issue.

7. Holding and Storage

Once your order is complete, you have 5 business days to arrange pickup or shipment before storage fees apply. After that, we charge $75 per week.

If your order is not retrieved or arranged for shipment within 30 days of written notice, it may be considered abandoned. We reserve the right to dispose of abandoned goods and invoice for any outstanding balance.

8. Client-Supplied Materials

If you are supplying your own vessels, packaging, or components, you must provide a delivery deadline in writing at the time of order confirmation. If your materials arrive late, a $75 per week holding fee applies from the missed deadline date.

We are not responsible for production errors caused by client-supplied materials that do not meet our submitted specifications.

9. Shipping and Freight

Shipping costs are the Client's responsibility and are invoiced separately unless otherwise agreed in writing. Once your order is handed off to our freight or carrier partner, risk of loss transfers to you. We are not liable for delays, loss, or damage that occur during transit.

10. Our Liability Is Limited

If something goes wrong, UCC's liability is limited to the amount you paid for the specific order or service in question. We are not responsible for indirect losses, lost profits, or business interruption, and we are not liable for delays caused by supply chain issues, material shortages, or carrier failures outside our control.

11. Governing Law

These terms are governed by the laws of the State of California. Any disputes will be handled in Los Angeles County.

12. Updates to These Terms

We may update these Terms at any time. The version in effect when your order is placed governs that transaction.
